Terms of Service

Effective 31 October 2026

In short: use TalkOnVid lawfully and respectfully, get consent before you record people, keep your account secure, and remember that you own your content. We work hard to keep the service running but can't promise it will never fail.

1. About these terms

These terms are an agreement between you and SAULTECH IT Solutions, Nigeria ("we", "us"), which operates TalkOnVid: the website at talkonvid.com, its API and the TalkOnVid mobile apps (the "Service"). By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you use TalkOnVid on behalf of an organisation, you confirm you are authorised to accept these terms for it, and "you" includes that organisation.

2. Your account

You must be at least 18, or have the consent of a parent or guardian, and give accurate information when you sign up.
Keep your password and sign-in methods secure. You are responsible for activity on your account. Tell us promptly at [email protected] if you suspect unauthorised use.
Company workspaces are managed by their owners and admins, who can invite and remove members and manage workspace content.

3. Your content

You keep ownership of everything you create or upload: messages, recordings, files, notes and transcripts ("Your Content"). You give us a limited permission to host, store, process, transmit and display Your Content only as needed to run the Service for you and the people you share with. This includes generating AI summaries and other AI features you use. This permission ends when Your Content is deleted, except for copies we must keep by law or that remain in backups for a short time.

You are responsible for Your Content and confirm you have the rights to share it.

4. Recording, transcription and AI

Consent: before recording or transcribing a meeting, you must tell participants and get any consent the law requires where they are. TalkOnVid shows when a meeting is being recorded, but complying with recording and privacy laws is your responsibility.
AI output: summaries, action items, answers, translations and clip suggestions are generated automatically and can be incomplete or wrong. Check them before relying on them, especially for legal, medical, financial or other important decisions.

5. Acceptable use

You agree not to use TalkOnVid to:

break any law, or infringe anyone's privacy, intellectual property or other rights;
harass, threaten, defraud or exploit others, or share content that sexualises minors, promotes violence or hatred, or is otherwise unlawful;
record or monitor people without the consent the law requires;
send spam, or misuse invitations and notifications to contact people who didn't ask for them;
upload malware, probe or attack the Service, get around its limits or security, or access other people's accounts or data;
scrape, resell or copy the Service, or use it to build a competing product.

We may remove content or suspend accounts that break these rules (see section 9).

6. Plans and payment

Some features need a paid plan. Prices and limits are shown before you buy. Paid plans renew automatically until cancelled, and you can cancel at any time to stop the next renewal. Payments are handled by our payment processor, under its own terms. Unless the law requires otherwise, fees already paid are not refundable for partial periods. We will give at least 30 days' notice before a price change applies to your plan.

7. Third-party services

TalkOnVid works with services you choose to connect, such as Google or Microsoft sign-in and calendars, WhatsApp, and Linear, Jira, Notion or Trello. Your use of those services is governed by their own terms, and we are not responsible for them.

8. Our service

We own TalkOnVid, its software, design and brand. We give you a personal, non-transferable right to use the Service under these terms. We may improve, change or discontinue features. If we discontinue the Service entirely, we will give reasonable notice so you can export Your Content. Feedback you send us may be used without obligation to you.

9. Suspension and closing your account

You can stop using TalkOnVid at any time and ask us to close your account by writing to [email protected]. We may suspend or close an account that seriously or repeatedly breaks these terms, puts others at risk, or where the law requires it. Where it's reasonable, we will tell you first and give you a chance to export Your Content. Sections 3, 10, 11 and 13 continue after your account closes.

10. Disclaimers

The Service is provided "as is" and "as available". Meetings depend on internet connections, devices and third-party networks, so we can't guarantee the Service will be uninterrupted, error-free or always available, or that recordings and AI output will be complete. To the extent the law allows, we disclaim implied warranties such as merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and NGN 50,000. Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.

12. Indemnity

If someone brings a claim against us because of Your Content or your breach of these terms or the law, you agree to cover our reasonable losses and costs from that claim.

13. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. Please contact us first. Most problems can be solved informally. Any dispute we can't resolve within 30 days may be brought before the courts of Nigeria, which have exclusive jurisdiction. If you are a consumer, this does not take away any mandatory protection given by the law of the country where you live.

14. Changes to these terms

We may update these terms. We will post the new version here with a new effective date and, for significant changes, notify you in the app or by email at least 14 days before they apply. If you keep using TalkOnVid after that, the new terms apply. If you don't agree, you can close your account.

15. General

These terms and the Privacy Policy are the whole agreement between us about the Service. If any part is found unenforceable, the rest still applies. Our not enforcing a right is not a waiver of it. You may not transfer these terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
